Purchase Terms & Conditions

These Purchase Terms & Conditions ("Terms") govern all purchases made through the Vertical Aminos website ("Site"), owned and operated by Vertical Collective, LLC ("Vertical Collective," "Company," "we," "our," or "us").

By accessing this Site, placing an order, or purchasing any product, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your use of this Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

1. Eligibility & Purchaser Representations

By placing an order, you represent and warrant that:

• You are at least twenty-one (21) years of age.
• You are legally authorized to purchase Research Use Only ("RUO") products in your jurisdiction.
• You possess sufficient knowledge regarding the handling, storage, and disposal of laboratory research materials.
• You are purchasing solely for lawful laboratory research purposes.
• You will comply with all applicable federal, state, local, and international laws governing the purchase, possession, use, transportation, and disposal of the products.

Vertical Collective reserves the right to refuse service or cancel any order at its sole discretion.

2. Research Use Only

All products sold by Vertical Aminos are offered strictly for laboratory research purposes only.

Products:

• Are NOT intended for human consumption.
• Are NOT intended for veterinary use.
• Are NOT intended for therapeutic or diagnostic purposes.
• Are NOT intended to diagnose, treat, cure, or prevent any disease.
• Have NOT been approved by the U.S. Food and Drug Administration (FDA) for human or veterinary use.

Customer agrees that products will not be used in violation of any applicable law or regulation and will not be resold or redistributed for consumer use.

3. Order Acceptance

Submission of an order does not constitute acceptance.

Vertical Collective reserves the right to:

refuse any order; limit quantities; request identity or payment verification; cancel orders suspected of fraud or misuse; discontinue products without notice.

If an order is canceled after payment has been received, an appropriate refund will be issued whenever applicable.

4. Pricing & Taxes

All prices are listed in U.S. Dollars (USD).

Prices, product availability, promotions, and specifications may change without notice.

Sales tax will be collected where required by applicable law.

We reserve the right to correct pricing, inventory, or typographical errors and cancel affected orders if necessary.

5. Payment Authorization

By submitting an order, Customer expressly authorizes Vertical Collective, LLC to charge the selected payment method for the full purchase amount, including applicable taxes, shipping charges, and other disclosed fees.

Charges may appear on your payment statement as:

Orders remain pending until payment has been successfully authorized.

Declined, reversed, disputed, or fraudulent payments may result in cancellation of the order without obligation to ship.

6. Shipping & Risk of Loss

Shipping estimates are estimates only and are not guaranteed.

Customer is solely responsible for providing an accurate shipping address.

Orders returned because of an incorrect address or failed delivery may be subject to additional shipping charges before reshipment.

Unless otherwise required by applicable law, risk of loss transfers to Customer once the shipment is delivered to the selected shipping carrier.

Customers are encouraged to purchase shipping insurance if available.

International customers are responsible for all customs duties, import taxes, brokerage fees, permits, and compliance with local laws.

7. Returns & Refunds

Due to the nature of Research Use Only materials, all sales are final unless otherwise required by law.

If an order arrives damaged or incorrect, Customer must contact support within seven (7) calendar days of delivery.

Claims must include sufficient documentation, including photographs when requested.

Approved claims may be resolved through:

replacement; store credit; or refund,

at the sole discretion of Vertical Collective.

If a return is authorized, return instructions will be provided by our support team. Unauthorized returns may be refused.

Approved refunds will generally be processed within five (5) to ten (10) business days after final approval.

8. Order Issues

Customers are responsible for reviewing all order confirmations for accuracy.

Missing items, shipping discrepancies, damaged shipments, or incorrect products must be reported within seven (7) days of confirmed delivery.

Failure to report issues within this timeframe may result in denial of the claim.

9. Chargebacks & Payment Disputes

If Customer believes an issue exists with an order, Customer agrees to first contact Vertical Collective and provide a reasonable opportunity to resolve the matter before initiating a payment dispute or chargeback.

By placing an order, Customer expressly acknowledges that:

these Terms have been reviewed and accepted; the purchase constitutes affirmative authorization of the transaction; payment has been voluntarily authorized.

Vertical Collective reserves the right to contest improper or fraudulent chargebacks using available documentation, including order records, payment authorization, shipment tracking, delivery confirmation, IP address information, and customer communications.

The Company further reserves the right to refuse future orders from customers who initiate improper or fraudulent payment disputes.

Where permitted by applicable law, Vertical Collective reserves the right to recover costs and expenses incurred in responding to improper chargebacks.

10. Product Information & Batch Testing

Product descriptions, testing reports, Certificates of Analysis (COAs), images, specifications, and documentation are provided for informational purposes only.

Batch testing applies solely to the identified production batch and should not be interpreted as a guarantee applicable to future production lots.

Minor variations between batches may occur.

11. Disclaimer of Warranties

THE SITE, PRODUCTS, CONTENT, TESTING DOCUMENTATION, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTICAL COLLECTIVE, LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RESULTS OBTAINED FROM USE OF THE PRODUCTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERTICAL COLLECTIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE PURCHASE, POSSESSION, TRANSPORTATION, OR USE OF ANY PRODUCT.

OUR MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL PURCHASE PRICE PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

13. Indemnification

Customer agrees to defend, indemnify, and hold harmless Vertical Collective, LLC, its members, managers, officers, employees, affiliates, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

misuse of any product; violation of these Terms; violation of applicable laws; resale or redistribution of products; negligence or misconduct by Customer or any third party receiving products from Customer.

14. Dispute Resolution

Any dispute arising from these Terms or any purchase shall first be addressed through good-faith negotiations.

If unresolved, the dispute shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall occur in the State of Wyoming.

Each party waives any right to trial by jury.

Each party agrees that claims shall be brought solely on an individual basis and not as a plaintiff or class member in any class action, consolidated action, or representative proceeding.

15. Governing Law

These Terms shall be governed by the laws of the State of Wyoming without regard to conflict-of-law principles.

Subject to the arbitration provisions above, any court proceedings shall be brought exclusively in the state or federal courts located within Wyoming, and each party consents to the jurisdiction of those courts.

16. Restrictions on Use

Customer agrees not to:

purchase products for human or veterinary use; resell products for consumer use; misrepresent identity or purchasing authority; scrape, copy, or automate access to the Site; interfere with Site operations; violate applicable law.

17. Standard Provisions

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision shall not constitute a waiver.

These Terms constitute the entire agreement between the parties regarding purchases made through this Site.

Vertical Collective may assign its rights and obligations under these Terms without restriction.

Neither party shall be liable for delays caused by events beyond reasonable control, including natural disasters, labor disputes, governmental actions, supply chain disruptions, or carrier interruptions.

Any provisions which by their nature should survive termination shall survive, including warranty disclaimers, limitations of liability, indemnification, arbitration, and governing law.

18. Changes to These Terms

Vertical Collective reserves the right to modify these Terms at any time.

Revised Terms become effective immediately upon posting to this Site.

Continued use of the Site or placement of future orders constitutes acceptance of the revised Terms.
